Terms and Conditions

Effective Date: January 1st, 2025 

 

1. Acceptance of These Terms 

By accessing or using www.bookkeeperguy.com (the “Site”) or any related client portal, you (“Client,” “you”) agree to be bound by these Terms & Conditions (“Terms”). If you do not accept all Terms, do not use our services. We may update these Terms at any time; continued use after an update constitutes acceptance. 

 

2. Description of Services 

NEXUS ONE LLC dba Bookkeeper Guy, a Florida limited liability company (“Company,” “we,” “us”), provides: 

  1. Bookkeeping & Accounting Support – transaction coding, bank account reconciliation, financial‑statement preparation.
  2. Advisory & Compliance – management reports, KPI dashboards, sales‑tax filings, 1099 e‑filing.
  3. Software Integration – onboarding and maintenance of Xero, QuickBooks Online®, Gusto payroll, and comparable platforms.

 

Scope of work for each engagement is defined in your onboarding proposal or subsequent Statement of Work (“SOW”). Services do not include legal, investment, or audit services. 

 

3. Eligibility & Client Obligations 

You warrant that you (i) are at least 18 years old, (ii) have authority to bind the entity you represent, and (iii) will provide complete and accurate business records on a timely basis. You remain solely responsible for: 

  • Source‑document accuracy (invoices, receipts, bank statements).
  • Tax‑return timeliness—Company’s role is preparer; ultimate filing duty rests with Client.
  • Safeguarding login credentials for any cloud software we implement.

 

4. Account Registration 

Creating a portal account may require your name, email, phone, and password. You must keep credentials confidential and notify us of any unauthorized use. 

 

5. Fees, Invoicing & Payment 

  • Pricing: Fees are as quoted in the SOW (monthly flat rate or hourly). Additional tasks outside scope are billed at the standard company hourly rate.
  • Payment Terms: Invoices are due immediatelyvia ACH or credit card.
  • Suspension: We may suspend services for non‑payment after written notice.

 

6. Changes & Service Level Expectations 

We use commercially reasonable efforts to deliver draft financials as agreed in the engagement letter and proposal. Deadlines may shift if inputs are late or incomplete. 

 

7. Confidentiality & Data Security 

Each party agrees to protect the other’s non‑public information with at least the same care it uses for its own confidential data, but no less than reasonable care. We comply with the FTC Safeguards Rule and encrypt data in transit and at rest. See our Provacy Policy (www.bookkeeperguy.com/privacy-policy) for details. 

 

8. Intellectual Property 

All content on the Site—including text, graphics, logos, and software—is Company property or licensed to us and protected by U.S. copyright and trademark laws. We grant you a limited, non‑exclusive, non‑transferable license to use deliverables for your internal business purposes. 

 

9. Disclaimer of Warranties 

Services are provided “as‑is” and “as available.” Company disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Site will be uninterrupted, secure, or error‑free. 

 

10. Limitation of Liability 

To the fullest extent permitted by law, Company’s total liability for any claim arising out of these Terms or services shall not exceed the amount paid for services by the client. In no event will Company be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility. 

 

11. Indemnification 

You agree to indemnify, defend, and hold harmless Company, its managers, and employees from any losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (i) your breach of these Terms, (ii) your misuse of the Site, or (iii) inaccuracies in data supplied by you. 

 

12. Termination 

Either party may terminate an SOW for convenience with written notice. Upon termination, unpaid fees become immediately due. Sections 7–13 survive termination. 

 

13. Governing Law & Dispute Resolution 

These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑law rules. Any dispute not resolved informally will be submitted to binding arbitration administered by the American Arbitration Association in Lee County, Florida, under its Commercial Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction. 

 

14. Electronic Communications & Signatures 

You consent to receive notices and sign documents electronically under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and Florida Uniform Electronic Transactions Act (UETA). 

 

15. Force Majeure 

Neither party is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, internet outages, or government actions. 

 

16. Severability 

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. 

 

17. Entire Agreement 

These Terms, together with any SOW and our Privacy Policy, constitute the entire agreement between you and Company regarding the Site and services, superseding all prior communications.
